Between Arden Holdings Limited and Pellew & Co., incorporating Schedules 1 to 4.
The Client shall pay the Charges set out in Schedule 2 within thirty (30) days of the date of a correctly rendered invoice. For the purposes of this clause, correctly rendered has the meaning given in clause 1.1.
Where the Client disputes any part of an invoice in good faith, it shall pay the undisputed portion by the due date and notify the Supplier of the disputed portion in writing.
Interest shall accrue on late payment at four per cent (4%) above the base rate of the Bank of England from time to time, accruing daily.
The Supplier may increase the Charges once in any twelve (12) month period on not less than sixty (60) days' written notice, provided that no increase shall exceed the change in the Index over the preceding period.
The Consumer Prices Index published by the Office for National Statistics, or such other index as the parties may agree in writing under clause 12.4.
